1. General

This website is provided by Continovation Services Inc. (“CSI”). By accessing any area of continovation.com, (the “Site”) you acknowledge this notice, and agree to be bound by the terms and conditions (the “Terms and Conditions”) set out herein. If you do not agree to be bound by the Terms and Conditions, please do not access the Site or any pages thereof. The Site and its contents may be changed, withdrawn, or terminated at any time without notice. Changes may be made to the Terms and Conditions at any time without notice. By accessing the Site you are agreeing to be bound by the then current version of the Terms and Conditions. To the extent you enroll for services provided by CSI, those services are governed by the relevant Subscriber Agreement, Certificate Practices Statement, Privacy Statement and Relying Party Agreements, as amended from time to time, which agreements and statements are incorporated by reference into this agreement.

2. Disclaimer and Limitation of Liability

The Site is provided on an “as is” basis. The Site and its contents may be inaccurate, incomplete, or out of date. CSI makes no representations or warranties, either express or implied, of any kind with respect to the Site or its contents. Further, CSI expressly disclaims any liability regarding the Site or hyperlinked web sites arising out of or in connection with any use, inability to use, error, omission, interruption, defect, failure of performance, delay in operation, delay in transmission, computer virus, line failure, system failure, loss of data, incompatibility, contamination, or otherwise. This is a comprehensive limitation of liability that applies to all damages, losses or expenses, even if CSI, or representatives thereof, are advised of the possibility of such damages, losses, or expenses. You have sole responsibility to adequately protect and backup data and/or equipment and to take reasonable and appropriate precautions to scan for computer viruses, worms, or other destructive properties. CSI will not be responsible for any consequential damages you or anyone else suffers if you transmit confidential, proprietary or sensitive information to CSI via the Internet. To the extent you enroll for services provided by CSI, any transmissions via the internet by means of CSI services are governed by the relevant Subscriber Agreement, Certificate Practices Statement, Privacy Statement and Relying Party Agreements, as amended from time to time, which agreements and statements are incorporated by reference into this agreement.

3. Other Sites

As a service to users of the Site, CSI includes links to other Internet resources. Accessing any such Internet resource is at your own risk. CSI does not review, control, investigate, verify, monitor, endorse or provide any representation regarding the products, services, content, accuracy, privacy practices, or links provided by those Internet resources.

The Site is Copyright © Continovation Services Inc. All rights reserved. ITRANS, ITRANS logo and eQualifID are registered trade-marks of CSI. Both iCA and iGS are non-registered trade-marks of CSI. Other trade-marks and service marks contained in the Site are the property of their respective owners. Without limiting the rights reserved above, and except as licensed below, no part of the Site may be reproduced, stored in or introduced into a retrieval system in any medium, or retransmitted, in any form or by any means (electronic, mechanical, photocopying, recording, or otherwise), without prior written consent of CSI. Notwithstanding the above, permission is granted to download and copy the contents of the Site for personal use only. Any unauthorized downloading, re-transmission, or other copying or modification of trademarks and/or the contents of the Site may be a violation of any federal or other law that may apply to trademarks and/or copyrights and could subject the copier to legal action.

5. Governing Law

The Site is administered by CSI from its offices in the province of Ontario, Canada. The Site and these Terms and Conditions shall be governed by and interpreted in accordance with the laws of Ontario and the law of Canada applicable therein, without regard to the principles of conflicts of law, and notwithstanding your domicile, residence or physical location. You hereby submit and attorn to the exclusive jurisdiction of the courts of the province of Ontario, Canada.
